Terms & Conditions 1.0 General 1.1 By using the NAD Technology web site, requesting a quotation or submitting an order to NAD Technology you are signalling your acceptance of these terms and conditions. If you do not agree with these terms and conditions you must inform NAD Technology that you wish to cancel your order(s) and cease to use the web site immediately. 1.2 NAD Technology reserves the right to alter or amend these terms and conditions at any time and without notice. Please check these terms and conditions occasionally to review any changes that may have been made. 1.3 NAD Technology reserves the right to choose the geographic and legislative location of any legal process in which it is involved. 2.0 Orders 2.1 All orders are accepted on a "Cash with Order" basis. Goods will not be dispatched until payment has been accepted by our bank. NAD Technology may under certain circumstances offer a client 30 days credit on a per order basis, but reserves the right to refuse this facility, even if such a facility has been offered before. 2.2 All goods remain the property of NAD Technology until payment has accepted and cleared, irrespective of the status of delivery. Payment will not be requested until the goods are ready to be shipped to the customer. 2.3 All goods will be dispatched as soon as the complete order is ready for transit. NAD Technology cannot be held liable for any costs or liability arising from any delay in delivery to the customer, for any reason including, but not limited to, stock availability, payment clearance or delivery times. 2.4 Part orders may be shipped providing the prior consent of NAD Technology and the customer has been agreed. All additional costs incurred will be met by the customer. 2.5 Prices shown on this web site and other advertising literature are correct at the time of publication, but are subject to change without prior notice. The cost of the goods will be confirmed at the time of order by NAD Technology. Errors and Omissions Excepted. All prices are quoted in Pounds Sterling. 2.6 In the case of a customer receiving goods that have not been fully paid for, NAD Technology reserves the right to charge interest on any outstanding amount at 6% above the Bank of England's Base Rate until such times as the amount (including interest) is paid in full. 2.7 Your statutory rights are not affected. 2.8 NAD Technology reserves the right to withhold goods or decline to accept an order for any reason including, but not limited to, incorrect order specification or customer's details, non-UK addresses or previous payment complications. 2.9 Delivery charges to mainland UK address are included in the price of goods advertised. NAD Technology may charge an additional amount outside this region to cover any extra costs incurred in delivery and handling. 2.10 NAD Technology is not currently VAT registered. 3.0 Web Site 3.1 The NAD Technology web site is protected by copyright law, both in the UK and internationally. No part of it may be duplicated, stored or copied without written permission except in the normal transmission and storage of Internet traffic via the TCP/IP protocols between a web server and web browser and it's cache.. 3.2 The information presented in the NAD Technology web site is true and accurate to the best of our knowledge. No liability may arise from the information given on the web site or web sites linked to or from the site. 3.3 No liability may arise from the inability to access the NAD Technology web site for any reason, including but not limited to, power failure, heavy Internet traffic, web server failure, hardware or software incompatibility and human error. 3.4 NAD Technology retains the right to modify the web site at any time without prior notice and in any way it so chooses. 3.5 Links to other sites that are not part or the NAD Technology site are provided as a service only and do not form an endorsement of these linked sites. NAD Technology cannot be held liable for any damage that may arise from visiting linked sites, nor is it liable for any inability to be able to access such linked sites. 3.6 No liability shall arise from any software that is downloaded from the NAD Technology web site. 3.7 It is a condition of use of the NAD Technology web site that the user shall not alter any part of the site, either in form or function, nor use this site in such a way as to interfere with other users ability to access the site, or cause other sites (either linked or not) to be interfered with. 3.8 NAD Technology reserves the right to terminate any user's access to the web site for any reason, at any time and without notice. 3.9 NAD Technology recognises the all trademarks and copyrights that exist for products or services displayed on the NAD Technology web site. 4.0 Domain Names 4.1 Domain names registered by NAD Technology on behalf of our clients are done so in the name of the client and with the proviso that payments due for this process are made on time. Failure to pay or late payment will cause the domain name to transfer ownership to NAD Technology until such time as it sees fit to either i) release the domain name back to the registering authority or ii) return it to the client following full payment including any interest payments that may apply or iii) offer the domain for sale to a third party. 4.2 Prices specified are per domain name per year. There is a minimum contract length of two years with all domains. This is a reflection of the way that the naming authorities issue domain name certificates and handle renewal of domain names. Cancellation of a domain name within the first two years will still attract two year's fees. 5.0 Hosting 5.1 Hosting services provided by NAD Technology are subject to the following terms and conditions. These terms and conditions must also be read in conjunction with those of our hosting partners Net-Work (http://www.net-work.net/). Please note that if two different time periods are given (by NAD Technology and Net-Work) for the same clause, then the longer one shall be deemed to be the one in effect. 5.2 The minimum contract length for hosting is three months. Any cancellation of a contract within the initial three month period my take effect immediately if so desired, but a sum equal to three monthly payments will be charged. 5.3 After the initial three month period, cancellations must be given with one calendar month's notice. This clause applies to cancellations originating from either NAD Technology or the client. 5.4 Prices shown for hosting are those that apply for payment received by standing order or direct debit. Any alternative method of payment will incur additional administration fees as set by NAD Technology. 5.5 Payment for hosting will be charged monthly in arrears for each month or part thereof that the service is provided. 5.6 The configuration of the server and it's underlying hardware are at the discretion of NAD Technology, except where a specific software or hardware requirement has been requested and agreed by both parties. NAD Technology reserves the right to change the hardware or software configuration of the server at any time and without notice. 5.7 Security of the username and password that make up the login of each server or virtual server will be the responsibility of the client. Any misuse of the server by the client or any third party who has obtained the login, either overtly or covertly, shall be the responsibility of the client. 5.8 NAD Technology cannot be held responsible for any material or services offered from a web site that it hosts. These must be the responsibility of the client. 5.9 NAD Technology reserves the right to suspend hosting where it feels that any illegal act has or is occurring or where a web site appears to promote illegal activities. NAD Technology will assist law enforcement agencies with the task of collecting evidence for the prevention or investigation of suspected illegal activities. 5.10 Security of any information stored on a server is the responsibility of the owning client. We use backup techniques to minimise the effect of hardware or software failures, but it is the responsibility of the client to take reliable backups of their data. Security of personal or private data stored on a server is the responsibility of the client, who should ensure that proper data protection regimes are in force to protect it from unauthorised access. 6.0 Data protection 6.1 Any information obtained by NAD Technology is for our own internal use for the processing of orders and payments. 6.2 By placing an order you are expressly giving your permission to process any personal data and passing on your name and other details to members of staff or our representatives for the purposes of fulfilling your order and / or maintaining warranty agreements. 6.3 Personal data may be released to law enforcement agencies or other legal entities where required by law. 6.4 You have the right to examine any data collected by us relating to yourself. Requests should be made in writing to The Data Protection Officer, NAD Technology, 31 Dongola Road, Bishopston, Bristol, BS7 9HQ. We have the right to make a reasonable charge to process this request. Any errors in the data will be corrected as soon as is reasonable possible without charge. 6.5 We respect your privacy. With the exception of the above clauses, personal data will not be shared with any third party for promotional means. 7.0 Copyright 7.1 NAD Technology recognises the all trademarks and copyrights that exist for products or services displayed on the NAD Technology web site or in other NAD Technology documentation and brochures. 7.2 Copyright ownership of web sites designed in whole or part by NAD Technology are subject to the following copyright rules (in whole or part, as appropriate): 7.3 The "Look and Feel" of the design is copyrighted by the client for whom NAD Technology has undertaken work. This includes any logos, pictures, unique copy text or other content created specifically by NAD Technology for the client. This copyright excludes images or other content sourced from outside NAD Technology such as stock photographs, the copyright for which lies with originator and the content is used under license. 7.4 Copyright of the underlying source code, coding techniques, templates, common copy text and content and the business processes that are used to create them belongs to NAD Technology. They may not be copied, reverse engineered or otherwise duplicated without the specific written consent of NAD Technology. 7.5 NAD Technology reserves the right to link to a client's web site during production of such site and thereafter for as long as NAD Technology sees fit.
